This Offer Agreement (hereinafter referred to as the "Agreement") is made by and between Restaurant Prodigy, hereinafter referred to as "Seller", and the User (hereinafter referred to as "Buyer"), who purchases online courses offered through Restaurant Prodigy platform.
1. Definitions
- "Platform": The online service operated by Seller on which online courses are offered for sale.
- "Course": A digital content online course provided by Seller through the Platform.
- "Buyer": Any individual or entity that enters into this Agreement by purchasing a Course through the Platform.
2. Scope of Agreement
This Agreement governs the sale and purchase of Courses through the Platform. By purchasing a Course, the Buyer agrees to be bound by this Agreement, along with any additional terms and conditions provided with the Course.
3. Intellectual Property Rights
All intellectual property rights in the Courses and the Platform, including but not limited to copyright, trademarks, and course materials, are owned by the Seller or its licensors. The Buyer is granted a non-exclusive, non-transferable license to use the Course for personal, non-commercial purposes only.
4. Payment and Access
The Buyer agrees to pay the stated price for the Course. Access to the Course is granted immediately upon successful payment and registration.
5. Delivery and No Refund Policy
Upon the completion of the purchase transaction, the service, being the Course, is considered as "delivered" to the Buyer. Given the digital nature of the Course and immediate access provided upon purchase, the Seller does not offer refunds once the Course is purchased. The Buyer acknowledges and agrees that all sales are final and that they are not entitled to a refund under any circumstances.
6. Buyer's Responsibilities
The Buyer agrees not to share, distribute, or otherwise make available the Course materials to third parties. The Buyer is responsible for ensuring that their access and use of the Course complies with this Agreement and all applicable laws and regulations.
7. Limitation of Liability
The Seller shall not be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of or inability to use the Platform or the Courses, even if the Seller has been advised of the possibility of such damages.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Governing Law Country]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Austria.
9. Changes to the Agreement
The Seller reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on the Platform. By continuing to use the Platform after such changes, the Buyer agrees to be bound by the revised Agreement.
